Terms of Service

1. Agreement to Terms

By accessing or using VOS ("the Service"), provided by Virtually OnSite LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users, including organization administrators, team members, and any individuals who participate in support sessions via a shared link or invitation.

2. Description of Service

VOS is a browser-based, enterprise remote visual support platform. It enables organizations to conduct live video support sessions, record sessions, annotate video, and manage support workflows, all from a web browser without requiring any software download.

Features include: live video sessions, session recording and playback, branded customer-facing invite flows, team management, and billing administration.

3. Account Registration

To use the Service, you or your organization must create an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Organizations are responsible for managing team member access and ensuring all users comply with these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, threaten, or harm any person
• Record sessions without the knowledge and consent of all participants
• Transmit any malware, spam, or unauthorized advertising
• Attempt to gain unauthorized access to any system or account
• Resell or sublicense access to the Service without written permission

5. Session Recording and Data

The Service may allow you to record live support sessions. By enabling recording, you represent and warrant that you have obtained all necessary consents from session participants in accordance with applicable laws, including any applicable wiretapping or recording consent laws.

We store session recordings and associated data on your behalf. You retain ownership of your session data. We do not use your session content for any purpose other than providing and improving the Service.

6. Billing and Subscriptions

VOS is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis in accordance with the plan you select. All fees are stated in USD.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings. When you cancel, future recurring billing for the cancelled account will stop. Your access continues through the end of the monthly billing period already paid for.

Cancellation does not create an automatic refund, credit, or prorated return for unused time in a billing period.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

7. Free Trials, Usage Limits, and Abuse Prevention

We may offer free trials or evaluation accounts subject to limits, including limits on trial duration, sessions, team members, workflows, saved sessions, recordings, screenshots, notes, storage, or other product usage. Unless we state otherwise in writing, a trial may end after 14 days or 15 sessions, whichever occurs first, and may be limited to 3 team members, 1 workflow, and 5 saved sessions.

To protect the Service from abuse, duplicate trials, automated signups, fraudulent use, excessive consumption, or attempts to evade plan limits, we may collect, derive, and review operational signals such as IP address, browser and device characteristics, company name, user name, email address and email domain, user agent, timezone, referrer, campaign source, signup metadata, usage patterns, and similar fraud-prevention signals.

These signals may be used to score, flag, review, throttle, suspend, terminate, deny, or require conversion of trial accounts. We do not promise that trial access will remain available for any particular period, and we may close or restrict accounts that we reasonably believe are abusive, duplicative, fraudulent, unsafe, or inconsistent with the purpose of evaluating VOS.

8. Intellectual Property

All software, design, trademarks, and content comprising the VOS platform are the property of Virtually OnSite LLC or its licensors. You may not copy, modify, reverse-engineer, or create derivative works without our express written permission.

You grant us a limited, non-exclusive license to use your organization name, logo, and branding solely as necessary to deliver the white-label features of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUALLY ONSITE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, abuse a trial or promotion, attempt to evade plan limits, create duplicate evaluation accounts, or for any other reason with reasonable notice where practical. You may terminate your account at any time. Upon termination for cause, your right to use the Service ceases immediately. When you cancel a paid subscription through account settings, your account remains available until the service end date shown in the billing page, unless these Terms allow earlier suspension or termination.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Rock Island County, Illinois.

13. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes via email or in-app notification.
